REPRESENTATIONS AND WARRANTIES OF SELLING STOCKHOLDERS - DISCLOSURE REPRESENTATION. Each Selling Stockholder's representation regarding the adequacy and completeness of the offering document is limited to the information provided by such Stockholder on the theory that such information is the only information with which such Stockholder is intimately familiar. If the Selling Stockholders are officers, directors or control persons of the Company or otherwise exert significant influence over the Company then, in light of their familiarity with the Company, it may be appropriate for their disclosure representation to track that of the Company-- that is, to cover the entire offering document.
