REPRESENTATIONS AND WARRANTIES OF SEQUUS. SEQUUS makes to ALZA and Merger Sub the representations and warranties contained in this Article III, in each case subject to the exceptions set forth in the disclosure statement, dated as of the date hereof, delivered by SEQUUS to ALZA prior to the execution of this Agreement (the "SEQUUS Disclosure Statement"). The SEQUUS Disclosure Statement shall be arranged in schedules corresponding to the numbered Sections of this Article III, and the disclosure in any Section of the SEQUUS Disclosure Statement shall qualify only the corresponding Section of this Article III, unless it is reasonably apparent that the disclosed contract, event, fact, circumstance or other matter could relate to other representations or warranties or the matters covered thereby.
