REPRESENTATIONS AND WARRANTIES OF SUPREME. The Board of Directors of Supreme hereby warrant and represent to the Board of Directors of PublicCo the following:
REPRESENTATIONS AND WARRANTIES OF SUPREME. In order to induce the Village to enter into this Option Agreement, Supreme makes the following representations and warranties to the Village, each of which shall be deemed to be independently material with the intention that the Village shall rely upon the same and acknowledge that the same shall be true on the date of this Option Agreement and shall survive the Closing of this transaction.
