Representations and Warranties of the Acquiree and the Shareholders. The Acquiree and Shareholders do hereby individually, collectively, jointly and severally represent, warrant and covenant to the Acquiror, as an inducement for the Acquiror to enter into this Plan of Reorganization and to consummate the transactions contemplated hereby, that, as of the date hereof:

The Acquiree, as a material inducement to the Acquiror to enter into this Agreement and consummate the transactions contemplated hereby, makes the following representations and warranties to the Acquiror. The representations and warranties are true and correct in all material respects, to the best knowledge of the Acquiree.
