REPRESENTATIONS AND WARRANTIES OF THE BUYER AND THE ACQUISITION SUBSIDIARY. Each of the Buyer and the Acquisition Subsidiary represents and warrants to the Company that the statements contained in this Article III are true and correct, except as set forth in the disclosure schedule provided by the Buyer to the Company on the date hereof and accepted in writing by the Company (the "Buyer Disclosure Schedule"). The Buyer Disclosure Schedule shall be arranged in numbered and lettered sections corresponding to the numbered and lettered section contained in this Article III, and the disclosure in a section of the Buyer Disclosure Schedule shall qualify (i) the corresponding section in this Article III and (ii) each other section in this Article III to the extent it is clear from a reading of the disclosure that such disclosure is applicable to each such section, provided that the mere listing or identification of an agreement or document in such section of the Disclosure Schedule shall not qualify any other section in this Article III. For purposes of this Article III, the phrase "to the knowledge of the Buyer" or any phrase of similar import shall be deemed to refer to the actual knowledge of the executive officers of the Buyer, as well as any other knowledge which such executive officers would have possessed had they made reasonable inquiry of appropriate employees and agents of the Buyer with respect to the matter in question.
