Representations and Warranties of the Buyer and TS Acquisition. Each of the Buyer and TS Acquisition represents and warrants to TSI and Teligent that the statements contained in this § 6 are correct and complete as of the date of this Agreement, except as set forth in the disclosure schedule dated the date hereof and provided to TSI and Teligent by the Buyer and TS Acquisition in connection with the signing of this Agreement (the “Buyer Disclosure Schedule”) or as disclosed in the Buyer SEC Reports (as defined in Section 6.9(a)) as of the date hereof.
