Representations and Warranties of the City. The City makes the following representations and warranties: a. The City is a municipal corporation and municipality organized under the provisions of the Constitution and the laws of the State and has the power to enter into this Agreement and carry out its obligations hereunder. b. The execution and delivery of this Agreement, the consummation of the transactions contemplated hereby, and the fulfillment of or compliance with the terms and conditions of this Agreement are not prevented by, limited by, in conflict with, or result in a breach of, the terms, conditions, or provisions of any contractual restriction, evidence of indebtedness, agreement, or instrument of whatever nature to which the City is now a party or by which it is bound, nor do they constitute a default under any of the foregoing. c. All covenants, stipulations, promises, agreements, and obligations of the City contained herein shall be deemed to be the covenants, stipulations, promises, agreements, and obligations of the City only, and not of any governing body member, officer, agent, servant, or employee of the City in the individual capacity thereof.

The City makes the following representations and warranties: a. a) The City is a municipal corporation and municipality organized under the provisions of the Constitution constitution and the laws of the State of Iowa and has the power to enter into this Agreement and carry out its obligations and undertakings hereunder. b. b) The execution and delivery of this AgreementAgreement upon approval of the City Council of the City of Marshalltown, Iowa, the consummation of the transactions contemplated hereby, and the fulfillment of or compliance with the terms and conditions of this Agreement are not prevented by, limited by, in conflict with, or result in a breach of, of the terms, conditions, or provisions of any contractual restriction, evidence of indebtedness, agreement, or instrument of whatever nature to which the City is now a party or and by which it is bound, nor do they constitute a default under any of the foregoing. c. c) All covenants, stipulations, promises, agreements, and obligations of the City contained herein in this Agreement shall be deemed to be the covenants, stipulations, promises, agreements, and obligations of the City only, and not of any governing body member, officer, agent, servant, or employee of the City in the individual capacity thereofhereof.

The Hotel Property is currently zoned to allow the construction and operation of the Minimum Improvements and is not precluded from the ability to obtain liquor licenses for the hotel, restaurants and bars located therein. e. The City Council appoints the City Administrator as the primary contact person for Gatehouse on this Project.

Representations and Warranties of the City. The City makes the following representations and warrantieswarranties as of the Effective Date: a. (a) The City is a municipal corporation and municipality organized under the provisions of the Constitution and the laws of the State and has the power to enter into this Agreement and carry out its obligations hereunderunder this Agreement and has taken all actions required to authorize this Agreement. b. (b) The execution and delivery of this Agreement, the consummation of the transactions contemplated herebyby this Agreement, and the fulfillment of or compliance with the terms and conditions of this Agreement are not prevented by, limited by, in conflict with, or result in a breach of, the terms, conditions, conditions or provisions of any contractual restriction, evidence of indebtedness, agreement, agreement or instrument of whatever nature to which the City is now a party or by which it is bound, nor do they constitute a default under any of the foregoing, nor do they conflict with or contravene any laws, order, rule or regulation applicable to the City. c. (c) All covenants, stipulations, promises, agreements, agreements and obligations of the City contained herein shall be deemed to be the covenants, stipulations, promises, agreements, agreements and obligations of the City onlyCity, and not of any governing body member, officer, agent, servant, servant or employee of the City in the individual capacity thereof.

Subject to Developer being and remaining in compliance with this Agreement and the EDA Contract, the City will waive all usual and customary City permit fees related to building, electrical, plumbing, mechanical, zoning and signs.
