REPRESENTATIONS AND WARRANTIES OF THE COMPANY AND THE SELLING PARTIES. Except as set forth in the Disclosure Schedules, the Company and each of the Selling Parties represents and warrants to Parent as of the date hereof and as of the Closing Date (or as of such other date as may be expressly provided in any representation or warranty) as follows:
REPRESENTATIONS AND WARRANTIES OF THE COMPANY AND THE SELLING PARTIES. The Company and the Existing Shareholders, and Xxxx Xxxxx with respect to representations and warranties relating to the Owned Real Property (as defined below), represent and warrant to HDA as follows, except as set forth in a disclosure schedule ("Schedule") attached hereto and made a part hereof, the number of each Schedule corresponding to the Section number to which it refers:
REPRESENTATIONS AND WARRANTIES OF THE COMPANY AND THE SELLING PARTIES. Except as set forth in the Disclosure Schedule (it being understood and agreed that the representations and warranties of the Company and the Selling Parties are qualified in their entirety by such documents and agreements, including the contents, terms and provisions thereof), the Company and the Selling Parties jointly and severally represent and warrant to Buyer that the statements contained in this Article III are true and correct as of the Effective Date and as of the Closing Date.
