REPRESENTATIONS AND WARRANTIES OF THE CONTRIBUTOR PARTIES. The Contributor Parties hereby, jointly and severally, represent and warrant to the Acquirer Parties that except (i) as disclosed in any of the Devon SEC Documents filed or furnished with the SEC prior to the Execution Date or the Midstream Registration Statement (in each case excluding any disclosures included in any “risk factor” section of such documents or any other disclosures in such documents to the extent they are predictive or forward looking and general in nature) or (ii) as set forth on the disclosure letter delivered to the Acquirer Parties on the Execution Date (the “Contributor Disclosure Letter”), which identifies items of disclosure by reference to a particular section or subsection of this Agreement (it being understood that any matter disclosed pursuant to any section or subsection of the Contributor Disclosure Letter shall be deemed to be disclosed for all purposes of this Agreement and the Contributor Disclosure Letter, as long as the relevance of such disclosure is reasonably apparent), as follows:

REPRESENTATIONS AND WARRANTIES OF THE CONTRIBUTOR PARTIES. Except as set forth on the applicable section or subsection in the Company Disclosure Schedule, each Contributor Party, severally and not jointly, hereby represents and warrants to Buyer, solely as to such Contributor Party, that the statements contained in this Article IV (Representations and Warranties of the Contributor Parties) are true and correct as of the Closing.
