REPRESENTATIONS AND WARRANTIES OF THE DIOCESE AND WH. As of the date hereof and as of the Closing Date, (i) Diocese represents and warrants to WVUHS as to the representations and warranties in Sections 3.1, 3.2, 3.3, 3.12, 3.32, and 3.33, to the extent applicable to Diocese and Xxxxxx (and not WH); and (ii) WH and the WH Representatives, to their knowledge and on behalf of WH solely in their capacity as officers of WH represent and warrant to WVUHS the following to the extent applicable to WH (and not Diocese or Xxxxxx); provided that with respect to Sections 3.2, 3.6, 3.8, 3.10(ii), 3.16(a), 3.16(b), 3.18(i), 3.18(ii), 3.27(ii), 3.27(iii) and 3.29 (collectively, the “Reviewable Schedules”), notwithstanding the representation and warranty is made as of the date hereof, the representation and warranty will be subject to the exceptions set forth in the applicable Schedule as in effect on the applicable Reviewable Schedule Acceptance Date:
