Representations and Warranties of the Key Holder. Subject to Section 6.1, except as set forth in the Disclosure Schedule, the Key Holder hereby represents, warrants and undertakes to each Purchaser that, as of the date hereof and as of the Closing Date, in each case, the following representations and warranties are true and correct:
