Representations and Warranties of the Parent Company and the Buyer. The Parent Company and the Buyer, severally and not jointly, represent and warrant to the Target Company and to the Shareholders as set forth below. These representations and warranties are made as an inducement for the Target Company and the Shareholders to enter into this Agreement and, but for the making of such representations and warranties and their accuracy, the Target Company and the Shareholders would not be parties hereto.
