The Parent Company acknowledges that this guarantee is continuing in nature and applies to all presently existing and future Seller Guaranteed Obligations.
Except for those Key Employees and Employees with a management position listed in Section 3.14 of the Seller Disclosure Letter, until 12 months following the Closing Date, none of the Seller, the Parent Company, their Affiliates or any of their representatives shall solicit or cause to be solicited for hire or employment, directly or indirectly, such Key Employee or Employee with a management position of any of the Seller Subsidiaries.

For greater certainty, nothing in this Section 6.8 shall limit the Parent Company or its Affiliates from carrying out any transaction in the Ordinary Course or any transaction which is unconnected to the Seller Subsidiaries or property of the Seller Subsidiaries.
The Buyer shall provide written notice to the Parent Company of any alleged failure by the Seller to satisfy any Seller Guaranteed Obligation such that if the Buyer makes a claim under any indemnity or other provision of this Agreement prior to the expiry of an applicable cure period, the Seller shall remain entitled to the benefit of the remainder of that cure period before the Buyer can take any enforcement action under this Section 3.24 against the Parent Company.
