REPRESENTATIONS AND WARRANTIES OF THE PARTNERSHIP AND THE SELLERS. The Partnership and each Seller represents and warrants to Buyers as of the date hereof and as of the Closing that the statements contained in this Article II are true and correct, except as set forth in the disclosure schedule dated and delivered as of the date hereof to Buyers (the “Sellers Disclosure Schedule”), which is attached to this Agreement and is designated therein as being the Sellers Disclosure Schedule. The Sellers Disclosure Schedule shall be arranged in sections corresponding to each Section of this Article II. Each exception to a representation and warranty set forth in the Sellers Disclosure Schedule shall qualify the specific representation and warranty that is referenced in the applicable section of the Sellers Disclosure Schedule, and no other representation or warranty.
