Representations and Warranties of the Principal Entities. Each of the Principal Entities represents and warrants, jointly and severally, to each Agent as of the date of this Agreement, to the applicable Agent(s) as of the Applicable Time (whether to such Agent as principal or through such Agent as agent), to the applicable Agent(s) as of the date of each delivery of Notes (whether to such Agent as principal or through such Agent as agent) (the date of each such delivery to such Agent as principal is referred to herein as a “Settlement Date”), to the applicable Agent(s) as of any time that the applicable Time of Sale Prospectus or the Prospectus shall be amended or supplemented and to each Agent as of any time that the Registration Statement shall be amended or supplemented (each of the times referenced above is referred to herein as a “Principal Entities Representation Date”), as follows:
