Representations and Warranties of the Seller and SPC. To induce each Purchaser to purchase the Purchaser Interests and the Administrative Agent to take any action hereunder, each of SPC (only with respect to itself) and the Seller makes the following representations and warranties to each Purchaser and the Administrative Agent as of the Closing Date and, except to the extent provided otherwise below, as of each Purchase Date, each and all of which shall survive the execution and delivery of this Agreement.
