REPRESENTATIONS AND WARRANTIES OF THE SELLER AND THE COMPANIES. The Seller and each of the Companies, jointly and severally, make the following representations and warranties to the Purchaser, each of which shall be deemed material (and the Purchaser, in executing, delivering and consummating this Agreement, has relied and will rely upon the correctness and completeness of each of such representations and warranties notwithstanding independent investigation, if any):

In order to induce Purchaser and AHI to enter into this Agreement and to consummate the transactions contemplated hereby, the Seller and each of the Companies jointly and severally, make the representations and warranties set forth below to Purchaser and to AHI. For purposes of this Article IV, all references to the Companies shall, unless the context clearly indicates otherwise, be deemed to include each Company and each of their respective Company Subsidiaries.
