REPRESENTATIONS AND WARRANTIES OF THE SELLING PARTIES AND THE COMPANY. Subject to such exceptions as are disclosed in the disclosure schedule dated as of the date of this Agreement and delivered herewith by the Company to Buyer (the “Company Disclosure Schedule”) corresponding to the applicable section and subsection or clause of this Article II or disclosed in any other section, subsection or clause of the Company Disclosure Schedule provided that it is reasonably apparent on its face, upon a reading of the disclosure together with the corresponding representation and warranty and without any independent knowledge on the part of the reader regarding the matter disclosed, that such disclosure is responsive to such other section, subsection or clause, the Selling Parties and the Company hereby represent and warrant to Buyer as of the Closing Date as follows:
