REPRESENTATIONS AND WARRANTIES OF THE TENGTU CHINA GROUP. Where a representation contained in this Agreement is qualified by the phrase "to the best of a party's knowledge" (or words of similar import), such expression means that, after having conducted a reasonable due diligence review, the Party believes the statement to be true, accurate, and complete in all material respects.
