REPRESENTATIONS AND WARRANTIES OF WESTCON AND SELLING SHAREHOLDER. Westcon and Selling Shareholder jointly and severally represent and warrant to Transcat and Merger Sub that the statements contained in this Section are correct and complete as of the date of this Agreement and will be correct and complete as of the Closing Date (as though made then and as though the Closing Date were substituted for the date of this Agreement throughout this Article), except as set forth in the Disclosure Schedules. Disclosure made in a specific section or subsection of the Westcon Disclosure Schedules shall not be deemed to have been disclosed with respect to any other section or subsection herein unless an explicit cross-reference appears to that effect.
