With respect to any Transfer by the Selling Shareholder of Offered Shares, the Company shall have the right (the “Company Right of First Refusal”), but not the obligation, to purchase the Offered Shares in accordance with this Section 3.

To the extent such Offered Shares are not so transferred during such ninety (90) day period, then the Selling Shareholder may not transfer any of such Offered Shares without complying again in full with the provisions of this Agreement.
Upon the consummation of the purchase of any portion of a Selling Shareholder's Offered Shares pursuant to the Right of First Refusal, the Selling Shareholder will have no further rights in such Offered Shares that were purchased except the right to receive payment for such Offered Shares in accordance with the terms of this Agreement, and the Selling Shareholder will forthwith cause all certificate(s) (if any) evidencing such Offered Shares to be surrendered to the Company for transfer.
