As regards Section 18.1(i)(A) above, benefits received by the Selling Shareholder shall be deemed to be equal to the total proceeds (before deducting expenses) received by them from the offering of the Securities purchased by the Underwriter from the Selling Shareholder, and benefits received by the Underwriter shall be deemed to be equal to the total Underwriting Fee received from the Selling Shareholder.
