Selling Shareholder has the meaning set forth in Section 3.04(a).

• The Public Offer Account Bank shall take the necessary steps to ensure closure of the Public Offer Account promptly and only after all monies in the Public Offer Account are transferred to the accounts of the Promoter Selling Shareholder in accordance with the terms of this Agreement and upon receipt of account closure letter from the Company, the BRLMs and the Registrar to the Offer.

• The substitute banker to the offer shall enter into an agreement substantially in the form of this Agreement with the Company, the Promoter Selling Shareholder, the BRLMs, the Syndicate, and the Registrar, agreeing to be bound by the terms, conditions and obligations herein.
