REPRESENTATIONS AND WARRANTIES OF XXXXX AND SHAREHOLDERS. Each representation and warranty contained in this Section 4 is qualified by the disclosures made in the disclosure schedule attached hereto as Schedule 4 (the "Disclosure Schedule"). Each part of the Disclosure Schedule is numbered to correspond to the subsections of this Section 4. The Shareholders, severally and jointly, and Xxxxx represent and warrant to the Company that the statements contained in this Section 4 are correct and complete (except to the extent that the aggregate of all Losses that could arise from the inaccuracy or incompleteness of any statements, individually or in the aggregate, contained in this Section 4 do not exceed One Hundred Thousand Dollars ($100,000)) as of the date of this Agreement and will be correct and complete (except to the extent that the aggregate of all Losses that could arise from the inaccuracy or incompleteness of any statements, individually or in the aggregate, contained in this Section 4 do not exceed One Hundred Thousand Dollars ($100,000)) as of the Closing Date.
