REPRESENTATIONS AND WARRANTIES OF XXXXX AND THE STOCKHOLDERS. Xxxxx hereby represents and warrants to Thane with regard to Xxxxx and Xxxxx Products, Inc., a Delaware corporation and a wholly-owned subsidiary of Xxxxx (each a "Corporation" and together, the "Corporations"), and each Stockholder, severally but not jointly, hereby represents and warrants to Thane in Section 3.5(b) only with regard to itself, each as of the date hereof and as of the Effective Time, as follows:
