REPRESENTATIONS AND WARRANTIES REGARDING SUBJECT TRANSFER COMPANIES. Except for the representations and warranties set forth in Sections 5.01, 5.02, and 5.03, to the extent that any of the representations and warranties set forth in this Article V is made with respect to a Transfer Company that is a Non-Controlled Entity, the representation and warranty is qualified as being given only to the Knowledge of the Parent. Except for the representations and warranties set forth in Sections 5.01, 5.02, and 5.03, to the extent that any of the representations and warranties set forth in this Article V is made with respect to any matter relating to a Transfer Company that was not directly or indirectly organized by the Parent, the representation and warranty is qualified, insofar as such matter is attributable to the period of time prior to the date on which the Parent acquired its direct or indirect ownership of the Equity Securities of that Transfer Company, as being given only to the Knowledge of the Parent. Subject to the preceding provisions of this Article V and to the matters set forth in the Parent’s Disclosure Letter, the Parent represents and warrants to the Acquiror that:
