Representations and Warranties Relating to the Acquired. Companies Sellers hereby represent and warrant to Purchaser, except, subject to Section 12.01, as set forth in the corresponding section of the Disclosure Schedule, that the statements contained in this Article V that relate to the Acquired Companies, as applicable, are true, correct and accurate as of the date of this Agreement and as of the Target Date, except to the extent such representations and warranties are specifically made as of a particular date (in which case such representations and warranties will be true and correct as of such date):
