REPRESENTATIONS AND WARRANTIES WITH RESPECT TO NEWCO, THE COMPANY AND THE SOLD SUBSIDIARIES. H&H Group hereby represents and warrants to Buyer, both as of the date hereof and as of the Closing Date, as follows; provided, that the parties acknowledge and agree that Newco will be formed after the date hereof and prior to the Closing and, accordingly, the representations and warranties set forth in this Article 4 with respect to Newco shall be deemed to be made only on the Closing Date.
