REPRESENTATIONS AND WARRANTIES WITH RESPECT TO THE XXXXXX ENTITIES. Except in each case as set forth in the corresponding sections or subsections of the Xxxxxx Disclosure Schedules, Xxxxxx hereby represents and warrants to Subversive as of the Agreement Date and as of the Closing Date as follows; provided, however, that notwithstanding anything to the contrary provided in this Agreement, all representations and warranties of Xxxxxx in this Article III (and the Xxxxxx Disclosure Schedule) are being made with exception to and not with respect to Federal Cannabis Laws:
