Xxxxxx Disclosure Schedule definition

Xxxxxx Disclosure Schedule means a disclosure schedule delivered by Xxxxxx to Xxxxxxxx pursuant to this Agreement. Xxxxxx ERISA Affiliate has the meaning give to that term in Section 2.12.

• Except as set forth in Section 5.13 of the Xxxxxx Disclosure Schedule, all Xxxxxx Plans are in compliance with, and have been administered and operated in accordance with, the terms of such Xxxxxx Plans and Applicable Law including ERISA and the Code, except for any failure to so comply, operate or administer the Xxxxxx Plans that would not have a Xxxxxx Material Adverse Effect.
