Common use of Representations by Client Clause in Contracts

Representations by Client. Client represents and warrants that (a) it will comply with applicable law in its use of the Services; (b) execution, delivery, and performance of this Agreement have been duly authorized and shall not conflict with any obligation of Client, whether arising by contract, operation of law, or otherwise, (c) this Agreement constitutes a valid, binding obligation of BlackRock, and (d) Client has all rights necessary and power necessary to appoint BlackRock as its accounting agent.

Representations by Client. Representations by Client. Client represents and warrants that (a) it will comply with applicable law in its use of the Services; (b) execution, delivery, and performance of this Agreement have been duly authorized and shall not conflict with any obligation of Client, whether arising by contract, operation of law, or otherwise, (cb) this Agreement constitutes a validvalid and binding obligation, binding obligation of BlackRock(c) Client has all rights necessary to provide the Client Data to BlackRock for the uses set forth herein, and (d) Client has all rights necessary and power necessary to appoint BlackRock as its accounting agent.
