REPRESENTATIONS, COVENANTS, AND WARRANTIES OF PUBCO. As an inducement to, and to obtain the reliance of, Purchaser, and except as set forth in the corresponding disclosure schedules delivered by PubCo in connection with this Agreement (the “PubCo Schedules”), each of PubCo and Principal PubCo Stockholder jointly and severally represents and warrants, as of the date hereof and as of the Closing Date, as follows:
