REPRESENTATIONS OF CLARANT AND NEWCO. Clarant and Newco jointly and severally represent and warrant to the Stockholders that all of the following representations and warranties in this Article 6 are true, accurate and complete at the date of this Agreement and shall be true, accurate and complete at the time of the Pre-Closing and on the Closing Date, in each case as modified by any applicable Schedule amendments or supplements pursuant to Section 7.11, and that such representations and warranties shall survive the Closing Date.
