Transaction Not a Breach. The execution and delivery of this Agreement and its related documents, the performance by Buyer hereunder, and the consummation of the transactions described herein, will not conflict with or violate (i) any law, ordinance, regulation, order, award, judgment, injunction or decree applicable to Buyer, or (ii) conflict with or result in a material breach of any contract, agreement, or other instrument, obligation or understanding of any nature to which Buyer is a party or by which Buyer is bound or affected.
Transaction Not a Breach. Neither the execution and delivery of this Agreement nor their performance will violate, conflict with, or result in a breach of any provision of any Law, rule, regulation, order, permit, judgment, injunction, decree or other decision of any court or other tribunal or any Governmental Authority binding on CTS or NEWCO or conflict with or result in the breach of any of the terms, conditions or provisions of the Certificate or Articles of Incorporation or the By-laws of CTS or NEWCO or of any contract, agreement, mortgage or other instrument or obligation of any nature to which CTS or NEWCO is a party or by which CTS or NEWCO is bound.
Transaction Not a Breach. Neither the execution and delivery of this Agreement or the Other Agreements, nor their performance will violate, conflict with, or result in a breach of any provision of any Law, rule, regulation, order, permit, judgment, injunction, decree or other decision of any court or other tribunal or any Governmental Authority binding on Clarant or Newco or conflict with or result in the breach of any of the terms, conditions or provisions of the Clarant Charter Documents or of any contract, agreement, mortgage or other instrument or obligation to which Clarant or Newco is a party or by which Clarant or Newco is bound.
Transaction Not a Breach. The execution, delivery and performance of this Agreement and the Transaction Documents by NovaMed will not violate and conflict with, or result in the breach of any of the terms, conditions, or provisions of NovaMed’s Certificate of Incorporation or of any contract, agreement, mortgage, or other instrument or obligation of any nature to which NovaMed is a party or by which NovaMed is bound.
Transaction Not a Breach. The execution, delivery and performance of this Agreement and the Transaction Documents by Purchaser will not violate and conflict with, or result in the breach of (i) any of the terms, conditions, or provisions of the Certificate of Incorporation or Bylaws of Purchaser, as amended to date or (ii) any Contract, agreement, mortgage, or other instrument or obligation of any nature to which Purchaser is a party or by which Purchaser is bound.
Transaction Not a Breach. The execution, delivery or performance by the Company of this Agreement will not:
(i) violate or conflict with or result in a breach of any provision of any Law binding on the Company; or
(ii) conflict with or constitute a default under the limited liability company agreement of the Company, or any contract, agreement, commitment, indenture, mortgage, note, bond, license or other instrument or obligation of any nature to which either of the Company is a party or by which the Company or any of their property or assets may be bound or affected.
Transaction Not a Breach. Neither the execution and delivery of this Agreement by CONDOR nor its performance will violate, conflict with, or result in a breach of any provision of any Law, rule, regulation, order, permit, judgment, injunction, decree or other decision of any court or other tribunal or any Governmental Authority binding on CONDOR or conflict with or result in the breach of any of the terms, conditions or provisions of the Certificate of Incorporation or the By-Laws of CONDOR or of any contract, agreement, mortgage or other instrument or obligation of any nature to which CONDOR is a party or by which CONDOR is bound.
Transaction Not a Breach. Neither the execution and delivery of this Agreement and the Transaction Documents by such Seller, nor the performance by such Seller of the transactions contemplated hereby or thereby will violate or conflict with, or result in the material breach of any of the material terms, conditions, or provisions of any contract, agreement, mortgage, or other instrument or material obligation of any nature to which such Seller is a party or by which such Seller is bound.
Transaction Not a Breach. Except as set forth on Schedule 3.5, neither the execution and delivery of this Agreement or any Company Transaction Document by the Company nor the performance by the Company of the transactions contemplated hereby or thereby will:
(a) violate or conflict with or result in a breach of any provision of any law, statute, rule, regulation, requirement, approval, order, permit, judgment, injunction, decree or other decision (collectively, “Rules”) of any Governmental Authority binding on the Company or the properties thereof, or conflict with or result in the breach of any of the terms, conditions or provisions thereof;
(b) violate or conflict with or constitute (with or without notice or lapse of time or both) a default under the organizational or governing documents of the Company or any Permit, Grant or Contract;
(c) constitute an event which would permit any party to terminate, modify, or accelerate the maturity of any Indebtedness or other obligation under, any Contract;
(d) result in the creation or imposition of any Lien upon the Assets;
(e) constitute an event which would permit any party to terminate or modify the terms of any Grant; or
(f) require any Permit, authorization, consent, approval, exemption, or other action by or notice to any Person or Governmental Authority pursuant to any Rules of a Governmental Authority.
Transaction Not a Breach. Neither the execution and delivery of this Agreement by CANADA nor its performance will violate, conflict with, or result in a breach of any provision of any Law, rule, regulation, order, permit, judgment, injunction, decree or other decision of any court or other tribunal or any Governmental Authority binding on CANADA or conflict with or result in the breach of any of the terms, conditions or provisions· of any contract, agreement, mortgage or other instrument or obligation of any nature to which CANADA is a party or by which CANADA is bound.
