Common use of Representations, Warranties and Agreements of the Underwriter Clause in Contracts

Representations, Warranties and Agreements of the Underwriter. The Underwriter represents to and agrees with the District that, as of the date hereof and as of the date of Closing: (a) The Underwriter is duly authorized to execute this Purchase Contract and the Underwriter is duly authorized to take any action under this Purchase Contract required to be taken by them. (b) The Underwriter is in compliance with MSRB Rule G-37 with respect to the District, and are not prohibited thereby from acting as an underwriter with respect to securities of the District. (c) The Underwriter has, and have had, no financial advisory relationship, as that term is defined in Government Code Section 53590(c) or MSRB Rule G-23, with the District with respect to the Bonds, and no investment firm controlling, controlled by or under common control with the Underwriter has or has had any such financial advisory relationship.
