All representations, warranties and agreements contained in this Agreement, incorporated herein by reference or contained in the certificates of officers of the Mortgage Loan Seller delivered and the Company submitted pursuant hereto, shall remain operative and in full force and effect and shall survive delivery the transfer and sale of the Mortgage Loans by the Mortgage Loan Seller to the Purchaser Company and by the Purchaser Company to the Trust, Trustee notwithstanding any restrictive or qualified language to the contrary contained in any endorsement or assignment in respect of any Mortgage Loan; provided that the representations, warranties and agreements shall terminate upon the termination of the Pooling and Servicing Agreement.

All representations, warranties and agreements contained in this Agreement, incorporated herein by reference or contained in the certificates of officers of the Mortgage Loan Seller delivered submitted pursuant hereto, shall remain operative and in full force and effect and shall survive delivery of the First Union Mortgage Loans by the Mortgage Loan Seller to the Purchaser (and by the Purchaser to the Trust, notwithstanding any restrictive or qualified endorsement or assignment in respect of any Mortgage LoanTrustee).

All representations, warranties and agreements contained in this Agreement, incorporated herein by reference or contained in the certificates of officers of the Mortgage Loan Seller delivered pursuant hereto, shall remain operative and in full force and effect and shall survive delivery of the Mortgage Loans by the Mortgage Loan Seller to the Purchaser PSSFC and by the Purchaser PSSFC to the Trust, notwithstanding any restrictive or qualified endorsement or assignment in respect of any Mortgage Loan.

All representations, warranties and agreements contained in this Agreement, incorporated herein by reference or contained in the certificates of officers of the Mortgage Loan Seller delivered and the Company submitted pursuant hereto, shall remain operative and in full force and effect and shall survive delivery transfer and sale of the Mortgage Loans by the Mortgage Loan Seller to the Purchaser Company and by the Purchaser Company to the Trust, Trustee and shall continue throughout the term of the transaction notwithstanding any restrictive or qualified language to the contrary contained in any endorsement or assignment in respect of any Mortgage LoanLoans.

All representations, warranties and agreements contained in this Agreement, incorporated herein by reference or contained in the certificates of officers of the Mortgage Loan Seller and Franklin BSPRT delivered pursuant hereto, shall remain operative and in full force and effect and shall survive delivery of the Mortgage Loans by the Mortgage Loan Seller to the Purchaser and by the Purchaser to the Trust, notwithstanding any restrictive or qualified endorsement or assignment in respect of any Mortgage Loan.

Representations, Warranties and Agreements to Survive Delivery. All representations, warranties and agreements contained in this Agreement, incorporated herein by reference or contained in the certificates of officers of the Mortgage Loan Seller delivered pursuant hereto, shall remain operative and in full force and effect and shall survive delivery of the Mortgage Loans and the Trust Subordinate Companion Loan by the Mortgage Loan Seller to the Purchaser and by the Purchaser to the Trust, notwithstanding any restrictive or qualified endorsement or assignment in respect of any Mortgage Loan or the Trust Subordinate Companion Loan, as applicable.

All representations, warranties and agreements contained in this Agreement, incorporated herein by reference or contained in the certificates of officers of the Mortgage Loan Seller delivered and the Company submitted pursuant hereto, shall remain operative and in full force and effect and shall survive delivery transfer and sale of the Mortgage Loans by the Mortgage Loan Seller to the Purchaser Company and by the Purchaser Company to the Trust, Trustee and shall continue throughout the term of the transaction notwithstanding any restrictive or qualified language to the contrary contained in any endorsement or assignment in respect of any Mortgage Loan.

Representations, Warranties and Agreements to Survive Delivery. All representations, warranties and agreements contained in this Agreement, incorporated herein by reference or contained in the certificates of officers of the Mortgage Loan Seller or the Additional Party delivered pursuant hereto, shall remain operative and in full force and effect and shall survive delivery of the Mortgage Loans by the Mortgage Loan Seller to the Purchaser and by the Purchaser to the TrustPurchaser, notwithstanding any restrictive or qualified endorsement or assignment in respect of any Mortgage Loan.

Representations, Warranties and Agreements to Survive Delivery. All representations, warranties and agreements contained in this Agreement, incorporated herein by reference or contained in the certificates of officers of the Mortgage Loan Seller delivered pursuant hereto, shall remain operative and in full force and effect and shall survive delivery of the Mortgage Loans by the Mortgage Loan Seller to the Purchaser (and by the Purchaser to the Trust[Trustee][Indenture Trustee]), notwithstanding any restrictive or qualified endorsement or assignment in respect of any Mortgage Loan.

All representations, warranties and agreements contained in this Agreement, incorporated herein by reference or contained in the certificates of officers of the Mortgage Loan Seller or the Additional Party delivered pursuant hereto, shall remain operative and in full force and effect and shall survive delivery of the Mortgage Exhibit A-1 Loans by the Mortgage Loan Seller to the Purchaser and by the Purchaser to the TrustPurchaser, notwithstanding any restrictive or qualified endorsement or assignment in respect of any Mortgage Loan.
