Representations, Warranties and Covenants by the Authority. By its execution hereof, the Authority represents and warrants to, and agrees with, the Underwriter that the Authority is and will be on the Closing Date validly existing as a body corporate and politic established as an instrumentality of the Commonwealth of Pennsylvania ("Commonwealth") pursuant to the Act, and has, and at the Closing Date will have, full legal right, power and authority (i) to enter into this Purchase Agreement, (ii) to adopt the Resolution and cause the delivery of the Bonds to the Underwriter pursuant to the Resolution and the Indentures as provided herein, and (iii) to carry out and consummate the transactions contemplated by this Purchase Agreement, the Resolution, the Indentures, and the Installment Sale Agreements and as described in the Official Statement. The Authority hereby further represents, warrants and agrees as follows:
