Representations Warranties and Covenants by the Company and the Vendors. 3.1 General representations, warranties and covenants by the Company and the Vendors. In order to induce the Purchaser to enter into and consummate this Agreement, each of the Vendors and the Company hereby represents to, warrants to and covenants with the Purchaser, with the intent that the Purchaser will rely thereon in entering into this Agreement and in concluding the transactions contemplated herein, that, to the best of the knowledge, information and belief of each of the Vendors and the Company, after having made due inquiry (and for the purposes of the following warranties, representations and covenants, "Company" shall mean the Company and any and all subsidiaries of the Company, as the context so requires):
