Representations, Warranties and Covenants of Diageo and Pillsbury. (i) Each of the representations and warranties of Diageo and Pillsbury set forth in this Agreement that is qualified as to Pillsbury Material Adverse Effect shall be true and correct, and each of the representations and warranties of Diageo and Pillsbury set forth in this Agreement that is not so qualified shall be true and correct in all material respects, in each case as of the date of this Agreement and as of the Closing Date as though made on and as of the Closing Date (except to the extent in either case that such representations and warranties speak as of another date) and (ii) each of the representations and warranties of the Selling Affiliates in the Subsidiary Purchase Agreements shall be true and correct in all material respects, in each case when made and as of the Closing Date as though made on and as of the Closing Date (except to the extent that such representations and warranties speak as of another date).
