Representations, Warranties and Undertakings by the Recipient. The Recipient hereby certifies that the representations, warranties and undertakings are, and will be as of the Date of Execution of the Contribution Agreement, true and correct in all material respects. The Recipient undertakes to advise the Agency of any changes that materially affect the following representations, warranties and undertakings.
