Request for Change Proposal. 10.2.1.1 If TxDOT desires to issue a TxDOT-Directed Change or to evaluate whether to initiate such a change, then TxDOT may, at its discretion, issue a Request for Change Proposal. A Directive Letter may also constitute a Request for Change Proposal.
10.2.1.2 Within 10 Business Days after DB Contractor’s receipt of a Request for Change Proposal, or such longer period as may be mutually agreed to by TxDOT and DB Contractor, TxDOT and DB Contractor shall consult to define the proposed scope of the change. Within five Business Days after the initial consultation, or such longer period as may be mutually agreed to by TxDOT and DB Contractor, TxDOT and DB Contractor shall consult concerning the estimated cost impacts.
10.2.1.3 Within 10 Business Days after the second consultation and provision of any data described in Section 10.2.1.2, TxDOT shall notify DB Contractor whether TxDOT (a) wishes to issue a Change Order, (b) wishes to request DB Contractor to provide a Cost and Schedule Proposal, (c) wishes to request DB Contractor to prepare a modified work plan for the change and a Cost and Schedule Proposal based on the modified plan, or (d) no longer wishes to issue a Change Order.
10.2.1.4 If so requested, DB Contractor shall, within 10 Business Days after receipt of the notification described in Section 10.2.1.3, or such longer period as may be mutually agreed to by TxDOT and DB Contractor, prepare and submit to TxDOT for review and approval by TxDOT a Cost and Schedule Proposal (in the format provided by TxDOT) for the requested change, complying with all applicable requirements of Section 10.4, and incorporating and fully reflecting all requests made by TxDOT. DB Contractor shall bear the cost of developing the Cost and Schedule Proposal, including any modifications thereto requested by TxDOT, except that costs of design and engineering work required for preparation of plans or exhibits necessary to the Cost and Schedule Proposal, as preauthorized by TxDOT, may be included in the Change Order as reimbursable items. If the Change Order is approved, such design and engineering costs will be included within the Change Order; otherwise they shall be separately reimbursed through a separate Change Order.
10.2.1.5 If DB Contractor and TxDOT agree that a change in the requirements relating to the Maintenance Services has occurred but disagree as to whether the change justifies additional compensation or time or disagree as to the amount of any change to be made to...
Request for Change Proposal. (i) If the Department desires to initiate a Department Change, then the Department will issue a Request for Change Proposal. The Request for Change Proposal will set forth the nature, extent and details of the proposed Department Change.
(ii) Within five Days following the Developer’s receipt of the Request for Change Proposal, the Developer will provide the Department with a preliminary estimate of the Developer’s Allocable Costs for preparing the Change Proposal (a “Change Proposal Estimate”). Upon review and written approval by the Department of the Change Proposal Estimate, the Developer will proceed to prepare the Change Proposal.
(iii) Within 14 Days following the Department’s written approval of the Change Proposal Estimate, the Developer will provide the Department with a preliminary written response, and within a reasonable time thereafter (not to exceed 30 Days or such other timeframe agreed upon between the Developer and the Department), with a definitive written response (a “Change Proposal”), as to whether, in the Developer’s opinion, the Department Change constitutes a Compensation Event, and if so, (A) a detailed assessment of the Net Revenue Impacts and Net Cost Impacts, to the extent known at that time, (B) the effect of the proposed Department Change on the Developer’s performance of its obligations pursuant to this Agreement, to the extent known at the time, (C) the proposed Base Case Financial Model Update and (D) a Time Impact Analysis, if applicable.
(iv) Within 30 Days following the delivery of the Change Proposal, the Developer and the Department will exercise good faith efforts to negotiate a mutually acceptable Change Order.
(v) If the Department approved in writing the Change Proposal Estimate and the Developer delivered the Change Proposal then, within 30 Days following the delivery of the Change Proposal, the Department will pay to the Developer the lesser of (1) the Developer’s Allocable Costs for preparation of the Change Proposal or (2) the amount of the Change Proposal Estimate.
Request for Change Proposal. Prior to issuing a Change Order, TxDOT may, but is not obligated to, request an assessment from Developer of the impact of a proposed TxDOT Change on the cost, Toll Revenue and schedule. In making such request, TxDOT shall describe to Developer the nature, extent and other details of the proposed TxDOT Change. After TxDOT makes such request, the Parties shall consult concerning the scope of the proposed TxDOT Change and the estimated financial and schedule impacts. Within 60 days after receiving such request, Developer shall provide TxDOT with Developer’s determination (which is not binding) of whether the proposed change constitutes a TxDOT Change and a detailed assessment of (a) the estimated impact on costs and Toll Revenues, (b) the effect, if any, on the Project Schedule and Milestone Deadlines and (c) the effect, if any on traffic flow and traffic volume during the Operating Period.
Request for Change Proposal. 13.2.1.1. If TxDOT desires to issue a TxDOT-Directed Change or to evaluate whether to initiate such a change, then TxDOT may, at its discretion, issue a Request for Change Proposal. The Request for Change Proposal shall set forth the nature, extent and details of the proposed TxDOT-Directed Change.
13.2.1.2. Within five Business Days after DB Contractor receives a Request for Change Proposal, or such longer period to which the Parties mutually agree, TxDOT and DB Contractor shall consult to define the proposed scope of the change. Within five Business Days after the initial consultation, or such longer period to which the Parties mutually agree, TxDOT and DB Contractor shall consult concerning the estimated cost and time impacts of the change.
13.2.1.3. Within five Business Days after the second consultation and provision of any data described in Section 13.2.1.2, TxDOT shall notify DB Contractor whether TxDOT: (a) wishes to issue a Change Order, (b) wishes to request DB Contractor to provide a Cost and Schedule Proposal as discussed at the meeting,
Request for Change Proposal. 14.1.2.1 If GDOT desires to initiate a GDOT Change or to evaluate whether to initiate such a change, then GDOT may, at its discretion, issue a Request for Change Proposal. The Request for Change Proposal shall set forth the nature, extent and details of the proposed GDOT Change.
14.1.2.2 Within five (5) Business Days after DB Team receives a Request for Change Proposal, or such longer period to which the Parties may mutually agree, GDOT and DB Team shall consult to define the proposed scope of the change. Within five (5) Business Days after the initial consultation, or such longer period to which the Parties may mutually agree, GDOT and DB Team shall consult concerning the estimated financial and schedule impacts.
Request for Change Proposal. 14.1.2.1 If KYTC desires to issue an KYTC-Directed Change or to evaluate whether to initiate such a change, then KYTC may, at its sole discretion, issue a Request for Change Proposal. The Request for Change Proposal shall set forth the nature, extent, and details of the proposed KYTC-Directed Change. KYTC may, in its sole discretion, determine whether to implement the potential change after consideration of DBT’s response.
14.1.2.2 Within five Working Days after DBT receives a Request for Change Proposal, or such longer period to which the Parties may mutually agree, KYTC and DBT shall consult to define the proposed scope of the change. Within five Working Days after the initial consultation, or such longer period to which the Parties may mutually agree, KYTC and DBT shall consult concerning the estimated financial, schedule, and other impacts.
Request for Change Proposal. (i) If the Department desires to initiate a Department Change, then the Department shall issue a Request for Change Proposal. The Request for Change Proposal shall set forth the nature, extent and details of the proposed Department Change.
(ii) Within 21 days following Concessionaire’s receipt of the Request for Change Proposal, the Concessionaire shall provide the Department with a preliminary written response, and within 60 days thereafter, with a definitive written response, as to whether, in the Concessionaire’s opinion, the Department Change will result in Concessionaire Damages, Positive Net Revenue Impact and/or Net Cost Saving, and, if so:
(A) a detailed assessment of the Net Revenue Impacts and Net Cost Impacts, including the estimated effect on length of time to realize the Maximum PVR, an estimate of any Concessionaire Damages, Positive Net Revenue Impact and/or Net Cost Saving, and schedule impact of the proposed Department Change; (B) the effect of the proposed Department Change on the Baseline Schedule, taking into account the Concessionaire’s duty to mitigate delay to the extent reasonably practicable; and (C) the effect of the proposed Department Change on traffic volume and traffic flow on the Project.
(iii) The Department shall be entitled to obtain a comprehensive report as to the proposed Department Change (including comments concerning the Concessionaire’s estimate of the costs and other impacts) from the Independent Engineer and a traffic and revenue study relevant to such impacts from a traffic and revenue consultant acceptable to the Department.
Request for Change Proposal. 16.1.2.1 If IFA desires to initiate or evaluate whether to initiate a Change Order, then IFA may, at its discretion, issue a Request for Change Proposal. The Request for Change Proposal shall set forth the nature, extent and details of the proposed IFA Change.
16.1.2.2 Within five Business Days after Developer receives a Request for Change Proposal, or such longer period to which the Parties may mutually agree, IFA and Developer shall consult to define the proposed scope of the change. Within five days after the initial consultation, or such longer period to which the Parties may mutually agree, IFA and Developer shall consult concerning the estimated financial, schedule and other impacts.
Request for Change Proposal. A Request for Change Proposal (RFCP) is a written request that informs Subcontractor about a potential change in the Subcontract Work and requests a proposal for the potential change. Subcontractor shall promptly reply with such request. Subcontractor shall not implement the change or incur any costs until a Change Order is fully executed.
Request for Change Proposal. (i) If the Department desires to initiate a Department Change under the CA, the Department is to issue a Request for Change Proposal. Under the CA, the Request for Change Proposal is to set forth the nature, extent and details of the proposed Department Change. If the proposed Department Change relates to the DB Work, the Concessionaire shall forward the Request for Change Proposal to the DB Contractor, and the DB Contractor shall fulfill the Concessionaire’s obligations under the CA with respect to the Department Change as provided in this Section 14.02.
(ii) Within fourteen (14) Days following the DB Contractor’s receipt of the Request for Change Proposal, the DB Contractor will provide the Concessionaire with a preliminary written response, and within a reasonable time thereafter (not to exceed twenty (20) Days or such other timeframe agreed upon between the DB Contractor, the Concessionaire and the Department), with a definitive written response (a “Change Proposal”), as to whether, in the DB Contractor’s opinion, the Department Change constitutes a Compensation Event, and if so, (A) a detailed assessment of the cost of implementing the Department Change and an estimate of any adjustment to the Contract Sum or other compensation to be requested as a result of the Department Change, and
