Request for Waiver. Notwithstanding any other provision hereunder, if, in respect of any Term Cessation Event and Event of Default, Xxxxxxxx receives written notice from Client requesting a waiver of such Term Cessation Event or Event of Default and Pershing has not begun to exercise any right or remedy in respect thereof within 30 calendar days following receipt of such notice, then Pershing shall be deemed to have waived its right to exercise any rights or remedies with respect to such Term Cessation Event or Event of Default.
