Common use of Required Disclosure Clause in Contracts

Required Disclosure. If the receiving party is required, by law or by a court or by other lawful authority, to disclose Confidential Information of the disclosing party, the receiving party will: promptly notify the disclosing party before making any such disclosure, if such notice is not prohibited by law, the court or other lawful authority; cooperate with the disclosing party on the proposed form and nature of the disclosure; and, ensure that any disclosure is made in accordance with the requirements of Applicable Law and within the parameters of the specific requirements of the court or other lawful authority.

Required Disclosure. If the receiving party is required, by law or by a court or by other lawful authority, to disclose Confidential Information of the disclosing party, the receiving party will: promptly notify the disclosing party before making any such disclosure, if such notice is not prohibited required by law, the Receiving Party may disclose the Confidential Information it receives hereunder to a governmental authority or by order of a court of competent jurisdiction, provided that (a) the Receiving Party shall promptly notify the Disclosing Party and take reasonable steps to assist the Disclosing Party in contesting such request, requirement or other lawful authority; cooperate with order or otherwise protecting the disclosing party on Disclosing Party’s rights and (b) the proposed form and nature Receiving Party shall limit the scope of such disclosure only to such portion of the disclosure; and, ensure Confidential Information that any disclosure it is made in accordance with the requirements of Applicable Law and within the parameters of the specific requirements of the court or other lawful authoritylegally required to disclose.
