Required Provisions of Bylaws. The bylaws of the Charter School shall provide that the Charter School may not enter into any contract for comprehensive school management or operations services (“Service Contract”) without first submitting such Service Contract to Charter Schools Director for review. The Charter School shall further incorporate within its bylaws, or duly establish pursuant to such bylaws, procedures for the termination of the Service Contract as provided herein. The bylaws may not be amended in any material respect without the prior written approval of the Board of Directors, such approval not to be unreasonably withheld, and in no event can they conflict with any term of the Charter or applicable law. In seeking modification of the bylaws, the Organizer shall submit to the Board of Directors a duly approved resolution of the Charter School board setting forth the proposed material changes to the Bylaws.
