Required Regulatory Provision. Notwithstanding anything herein contained to the contrary, any payments made to Executive by the Holding Company pursuant to this Agreement, or otherwise, are subject to and conditioned upon compliance with 12 U.S.C. ss.1828(k).

Required Regulatory Provision. Notwithstanding anything herein contained to the contrary, any payments made to Executive by the Holding Company Company, whether pursuant to this Agreement, Agreement or otherwise, are subject to and conditioned upon compliance with 12 U.S.C. ss.1828(k)) and any regulations promulgated thereunder. If and to the extent that the foregoing provision shall cease to be required by applicable law, rule or regulation, the same shall become inoperative as though eliminated by formal amendment of this Agreement.
