Required Resources. Except as otherwise expressly provided in this Agreement, Service Provider is responsible for providing, and is financially and operationally responsible for, the facilities, personnel, Equipment, Materials, technical knowledge, expertise and other resources necessary to provide the Services (including all Upgrades, improvements, replacements and additions to such resources).
