Requirement to Provide Reports/Triumph Right to Inspect. SRC shall submit to Triumph such data, reports, records, contracts and other documents relating to the Project as Triumph may require. During the construction of the Project, SRC shall on a quarterly basis submit to Triumph an activity report which outlines the progress of Construction and the cost of the Project incurred to date. Upon completion of the Project, SRC shall send Triumph a notice certifying that the Project was completed in accordance with the plans and specifications, the Contracts, and all applicable standards, statutes, rules and regulations, including all applicable laws regarding public records, labor laws, and civil rights laws. Within thirty (30) days after receipt of certification of completion, Triumph and/or its agents, engineers, and consultants shall have the right to inspect the Project to determine if it was in fact completed in accordance with the plans and specifications. If so, and subject to Triumph’s receipt of an approved Application for Disbursement in accordance with Section 4.1 above, Triumph shall disburse final payment of the Grant to SRC; if not, no Grant funds shall be disbursed unless and until SRC promptly corrects any deficiencies and Triumph thereafter determines that it was finally completed in accordance with the plans and specifications. In connection with its inspection of the Project, SRC shall make available to Triumph copies of any and all invoices, contracts, plans and specifications, and other documentation relating to the construction and completion of the Project. Once construction is completed and Triumph has approved such completion, and until such time as SRC has achieved at least one of the performance metrics described in Section 8.3 below, SRC shall, on an annual basis within thirty (30) days of the end of its fiscal year (or more frequently if requested by Triumph), submit to Triumph an activity report on the operations of the Project and the progress of satisfaction of the performance metrics set forth in Section 8.3 below and the status of Incentive Packages and payments of the Incentive Portion of the Matching Funds as described in Sections 5.2 above and 8.5 below, which reports shall include, among other things, its most recent audited financial statements. Triumph shall have the right, at any time and from time to time upon reasonable notice to SRC, to access the Project and inspect the work being performed or as completed.

Upon completion of the Project, SRC shall send (b) costs incurred to date, (c) how the Company is progressing toward achieving the Performance Metrics, (d) Grantee’s most recent audited financial statements, (e) a completed detailed Project account spreadsheet (i.e., in a tab on the Budget), (f) a completed Expense Itemization Sheet in a form provided by Triumph (“Expense Itemization Sheet”) for each category of Grant funds previously disbursed and for Matching Funds category, together with invoices, receipts, or contracts from vendors providing equipment, materials, and services; (g) payroll ledgers, percentage of time dedicated to the Project, and job descriptions as they relate to the Project, (h) documentation evidencing the completion of the work to date, (i) copies of front and back of cancelled checks, (j) to the extent that all or any portion of the prior funding was a notice certifying disbursement for items to be paid rather than a reimbursement of amounts already paid, a completed Expense Itemization Sheet and receipts or other documentation evidencing that the Project was completed funds disbursed previously were in accordance fact paid in the proper amounts to the proper vendors for such items, including copies of front and back of cancelled checks for funding (k) evidence that Grantee maintains the insurance required under Sections 5.4 and 5.10 hereof, (l) reports detailing the use of the Grant for Ad Valorem Rate Reduction for each year since the date of this Agreement, and (m) such other documents as Triumph shall require in order to determine that the Grant funds previously disbursed and Matching Funds used to date are consistent with the plans and specifications, purposes of the Contracts, and all applicable standards, statutes, rules and regulations, including all applicable laws regarding public records, labor laws, and civil rights lawsGrant. Once construction is completed and Triumph has approved such completion in accordance with the provisions set forth hereinbelow, and until such time as ESG has achieved the performance metrics described in Section 8.4 below, the City and ESG shall, on an annual basis, on or before October 31 of each year, submit to Triumph audited financial statements for their immediately preceding fiscal year. Upon completion of the Project, SRC the City and ESG shall send Triumph a notice certifying that the Project was completed in accordance with the plans and specifications, the ContractsConstruction Contract, and all applicable standards, statutes, rules and regulations, including all applicable laws regarding public records, labor laws, and civil rights laws. Within thirty (30) days after receipt of certification of completion, Triumph and/or its agents, engineers, and consultants shall have the right to inspect the Project to determine if it was in fact completed in accordance with the plans and specificationsConstruction Contract. In connection with its inspection of the Project, SRC the City and ESG shall make available to Triumph copies of any and all invoices, contracts, plans and specifications, and other documentation relating to the construction and completion of the Project. Once construction is completed Triumph and Triumph has approved such completionits employees, agents, and until such time as SRC has achieved at least one of the performance metrics described in Section 8.3 below, SRC shall, on an annual basis within thirty (30) days of the end of its fiscal year (or more frequently if requested by Triumph), submit to Triumph an activity report on the operations of the Project and the progress of satisfaction of the performance metrics set forth in Section 8.3 below and the status of Incentive Packages and payments of the Incentive Portion of the Matching Funds as described in Sections 5.2 above and 8.5 below, which reports shall include, among other things, its most recent audited financial statements. Triumph contractors shall have the right, at any time and from time to time during normal working hours and upon reasonable notice to SRCthe City and ESG, to access the Project and inspect the work being performed or as completed; provided that Triumph and its employees, agents and contractors shall at all times (i) comply with all applicable security and safety rules and regulations and (ii) be accompanied by the respective representatives of the City and ESG and any contractors.

Once construction is completed and Triumph has approved such completion, and until such time as SRC WCSB has achieved at least one of the performance metrics described in Section 8.3 7.3 below, SRC WCSB shall, on an annual basis within thirty (30) days of the end of its fiscal year (or more frequently if requested by Triumph)year, submit to Triumph an activity report on the operations of the Project and the progress of satisfaction of the performance metrics set forth in Section 8.3 below and the status of Incentive Packages and payments of the Incentive Portion of the Matching Funds as described in Sections 5.2 above and 8.5 7.3 below, which reports shall include, among other things, its most recent audited financial statements. Upon completion of the Project, SRC Grantee shall send Triumph a notice certifying that elements of the Project was have been completed in accordance with the plans and specifications, the Contracts, and all applicable standards, statutes, rules and regulations, including all applicable laws regarding public records, labor laws, and civil rights laws. Within thirty (30) days after receipt of certification of completion, Triumph and/or its agents, engineers, and consultants shall have the right to inspect the Project elements to determine if it was they were in fact completed in accordance with the plans and specifications. If so, and subject to Triumph’s receipt of an approved Application for Disbursement in accordance with Section 4.1 above, Triumph shall disburse fund the final payment of the Grant grant to SRCGrantee within thirty (30) days of such determination; if not, no Grant funds shall be disbursed funded unless and until SRC Grantee promptly corrects any deficiencies and Triumph thereafter determines that it was finally completed in accordance with the plans and specifications. In connection with its inspection of the Project, SRC Grantee shall make available to Triumph copies of any and all invoices, contracts, plans and specifications, and other documentation relating to the construction and completion of the Project.
