Common use of REQUIREMENTS CONTRACT Clause in Contracts

REQUIREMENTS CONTRACT. The Contract shall be a requirements contract for the Goods and Services specified herein. Except as otherwise provided herein, OSP agrees to order from Contractor all its actual requirements for the Goods and Services specified and Contractor agrees to provide the Goods and Services as ordered. However, OSP and Contractor understand and agree that the quantities of Goods and Services are estimates only and, except as otherwise provided herein, if OSP’s actual requirements during the Initial Term or any Extension Term of this Contract do not result in orders in the quantities described as “estimated”, that fact shall not constitute the basis for an equitable price adjustment.
