Research Collaboration Activities. Subject to the oversight of the JLT, during the Research Term each Party shall diligently conduct, at its cost except as provided in Section 7.3, those research activities that are assigned in the Research Workplan. At no cost to Roche, except as provided for in Sections 4.2 and 7.3, Memory shall use all reasonable best efforts to maintain in full force and effect all agreements and relationships with Third Parties in effect as of the Effective Date so that there is no interruption in the development of an IND package for MEM1414 during any transition from Memory to the JLT. Research Collaboration Activities. Each party shall be solely responsible for the activities undertaken by its employees, agents and consultants in connection with performing its tasks under the Research Plan, and each party (the indemnifying party) shall defend, indemnify and hold the other party and its Affiliates and their respective directors, officers, employees, shareholders and agents (the "Indemnified Parties") harmless from and against any and all liabilities, losses, damages, judgments, awards, costs and expenses (including reasonable investigative and attorneys' fees) that the Indemnified Parties may incur, suffer or be required to pay, resulting from or arising in connection with any claims, actions or suits arising out of activities undertaken in connection with the Research Plan by or on behalf of the indemnifying party.
