The Research Collaboration Sample Clauses
The Research Collaboration. DICERNA and KHK agree to undertake the Research Collaboration during the Research Collaboration Term under the terms and conditions set forth in this Agreement.
The Research Collaboration. (a) The Parties agree to conduct a Research Collaboration in accordance with the Research Workplan. The goal of the Research Collaboration shall be to (1) deliver to Roche an IND package for the lead Memory Compound MEM1414 and (2) identify back-up and follow-up Memory Compounds and Collaboration Compounds for MEM1414, and identify a lead compound for depression, as well as back-up compounds.
(i) The original term of the Research Collaboration shall be for a period of two (2) years from the Effective Date of this Agreement ("Original Term"), unless this Agreement is terminated sooner in accordance with Article 16. Except as provided in Article 16, neither Party may terminate the Research Collaboration.
(ii) The Original Term of the Research Collaboration may be extended by mutual written agreement prior to the expiration of the Original Term. During such extension, the Research Collaboration will explore potential applications of Products for other therapeutic areas such as respiratory disease, in addition to those goals of the Original Term.
(iii) The total time period during which the Research collaboration is ongoing, including any extensions of the Original Term, is the "Research Term."

(i) The original term of the Research Collaboration shall be for a period of two (2) years from the beginning of the Research Collaboration as set forth in the Research Workplan ("ORIGINAL TERM"), unless this Agreement is terminated sooner in accordance with Article 12 or the Research Term is extended pursuant to Section 12.4. Except as provided in Article 12, neither Party may terminate the Research Collaboration.
(ii) The Original Term of the Research Collaboration may be extended by mutual written agreement of the Parties prior to the expiration of the Original Term.
(iii) The total time period during which the Research Collaboration is ongoing, including any extensions of the Original Term, is the "RESEARCH TERM."
(c) As soon as is reasonably possible, but in no event later than thirty (30) days after the Effective Date, Memory shall deliver to Amgen the Materials listed on Schedule 1.42 attached to this Agreement, as well as any other Memory Technology (including protocols for applicable in vivo behavioral assays) (the "TECHNOLOGY TRANSFER"); PROVIDED, HOWEVER, that animals and/or other physical materials for performing such in vivo behavioral assays are not required to be [*] CONFIDENTIAL TREATMENT IS REQUESTED
1. Promptly after completing the Technology Transfer Memory shall provide Amgen with written notice of the completion thereof. Thereafter, to the extent reasonably requested by Amgen in connection with its research, development, and/or commercialization of any Compounds or Products, Memory shall, where it Controls the relevant Compounds and/or Material, provide reasonable quantities of physical samples of such Compounds and/or other Materials that are in Memory's possession that are necessary or useful to the Research Collaboration (including animals and/or other physical materials for performing in vivo behavioral assays). In addition, prior to Launch of the first Product, Memory shall promptly notify Amgen of any Memory Technology obtained and Controlled by Memory that is reasonably necessary for the research, development, and/or commercialization of any Product. The Research Collaboration. The Research Collaboration shall be conducted by the Parties in accordance with the initial Research Plan. Thereafter, the Research Plan shall be reviewed periodically by the JRC and may be amended by written agreement of the JRC as approved in writing by the JMC. The activities to be performed by the Parties during the Collaboration Term shall include (i) selection of Additional Targets, (ii) identification of Hits, (iii) identification of Research Compounds, (iv) Lead Identification, (v) Lead Optimization, (vi) identification of IND Candidate(s), (vii) IND-enabling work for IND Candidates including GLP safety studies, CMC and formulation development and (viii) management of IND submission.
