Common use of Research Program Clause in Contracts

Research Program. Subject to the terms and conditions of this Agreement, ARCHEMIX hereby grants to MERCK and its Affiliates a non-exclusive, royalty-free, worldwide license during the Research Program Term, including the right to grant sublicenses as provided in Sections 7.3 and 7.4, under Licensed Technology and Licensed Patent Rights, for the sole purpose of conducting MERCK Research Activities in the Research Program.

Research Program. Subject to the terms and conditions of this Agreement, ARCHEMIX MERCK hereby grants to MERCK ARCHEMIX and its Affiliates a non-exclusive, royalty-free, worldwide license during the Research Program Term, including the right to grant sublicenses subcontract as provided in Sections 7.3 and 7.4Section 8.5, under Licensed MERCK Technology and Licensed MERCK Patent Rights and MERCK’s interest in Joint Technology and Joint Patent Rights, for the sole purpose of conducting MERCK Research Activities in the Research Program.
