Common use of Reserve Fund; Payments to and from Swap Administrator; Supplemental Interest Trust Clause in Contracts

Reserve Fund; Payments to and from Swap Administrator; Supplemental Interest Trust. (a) As of the Closing Date, the Trustee shall establish and maintain in the name of the Supplemental Interest Trust Trustee, a separate trust for the benefit of the Holders of the Class A, Class M, Class B and Class C Certificates and the Swap Provider. The Supplemental Interest Trust shall hold the Swap Agreement, the Swap Administration Agreement and the Swap Account. The Swap Account shall be an Eligible Account, and funds on deposit therein shall be held separate and apart from, and shall not be commingled with, any other moneys, including, without limitation, other moneys of the Trustee held pursuant to this Agreement. In the absence of written investment instructions to the Trustee, amounts on deposit in the Swap Account shall remain uninvested. In performing its duties hereunder and under the Swap Agreement and the rights in respect of the Swap Administration Agreement, the Supplemental Interest Trust Trustee shall be entitled to the same rights, protections and indemnities as provided to the Trustee hereunder.

The Supplemental Interest Trust shall hold the Swap Agreement, the Swap Administration Agreement and the Swap Account. The Swap Account shall be an Eligible Account, and funds on deposit therein shall be held separate and apart from, and shall not be commingled with, any other moneys, including, without limitation, other moneys of the Trustee held pursuant to this Agreement. In the absence of written investment instructions to the Trustee, amounts on deposit in the Swap Account shall remain uninvested. In performing its duties hereunder and under the Interest Rate Swap Agreement and the rights in respect of the Swap Administration Agreement, the Supplemental Interest Trust Trustee shall be entitled to the same rights, protections and indemnities as provided to the Trustee Securities Administrator hereunder.
